New Online Business

I am looking to start a new online business selling old tests and or notes online to students at my university... I would like for this website to look professional and be user friendly. I have a few other things I would like the site to include.... like forums, members area, etc.

My new online business generates Sales referrals for UK businesses. Have used templates for past businesses but this one is a little unique. I need 2 sets of Ts and Cs.
One set for clients that promote their business on my site and then pay me a commission if the site generates sales for them and another set when sales agents sign up to my site. I pay them for generating the leads in the first place.

In regards to the sales, i will provide commission on a per sale basis. So feel free to hire anyone under you who will be able to make sales. I would like to target local Australian businesses to begin with however this is a global business. Servers are located in the US.

I know they are used for legal issues but do I need one if all I am doing is registering a online business?
